Terms of Service

Welcome to gkmixing.com (the "Website"). These Terms of Service (the "Terms") govern the relationship between Gleb Karpovich ("we," "us," "our") and clients ("you," "Client") regarding music mixing and mastering services provided through the Website or direct communication.

By accessing the Website or engaging with our services, you agree to these Terms. Please read them carefully before proceeding.

1. Services Provided

We offer professional music mixing and mastering services in stereo and Dolby Atmos formats. These include:

  • Mixing and mastering for stereo and Dolby Atmos (Apple Spatial Audio)
  • Stereo unmastered and mastered mixes, stems, instrumental mixes, and other requested deliverables as per client needs

All services provided are "work-for-hire" and we claim no ownership rights to the compositions or sound recordings.

2. Inquiries and Project Evaluation

Clients can contact us through our contact form on the Website or email us at contact@gkmixing.com. Upon receiving your inquiry, we will assess the scope of work and provide a non-binding project evaluation, including pricing.

We offer a free non-committal sample of up to 50% of the length of a song. If you are unsatisfied with the sample, there is no obligation to proceed with the service.

3. Pricing and Payment Terms

3.1 Pricing‍

Pricing is based on the project scope and agreed upon with the Client. Flat rates are offered according to project requirements and Client budget.

3.2 Payment Methods‍

We accept payment through direct bank transfer, PayPal, or Western Union as our standard payment methods. Upon Client request, we may consider alternative payment methods if technically feasible for international transfers from our location in the country of Georgia. Please note that certain payment platforms may not be available due to regional restrictions. Payment method options will be confirmed during initial project discussions.

3.3 Payment Options‍

  • Full Payment Upfront: Clients can pay the entire agreed amount before work begins.
  • 50% Non-Refundable Deposit: Clients can opt to pay a 50% non-refundable deposit upfront and the remaining 50% upon project completion.

4. Revisions‍

We offer unlimited revisions until the Client is satisfied with the mix. Once the final mix is approved by the Client, any additional revisions will incur a fee of $50 per revision request.

We reserve the right to decline service if we cannot achieve a satisfactory result after reasonable efforts. In such cases:

  • If the Client paid in full, they are eligible for a 50% refund
  • If the Client paid a 50% deposit, we retain the deposit and the Client is not required to pay the remaining balance
  • In either case, the Client will receive the complete project files to transfer to another engineer

5. Cancellation Policy‍

  • Before Work Begins: If the Client cancels before any work has started, we will issue a refund, except for the non-refundable deposit if applicable.
  • After Work Has Begun: If the project is canceled after work has started, the 50% deposit is non-refundable. If full payment was made, we will refund 50% of the total project cost.

6. Turnaround Time‍

  • Samples: The turnaround time for free samples is 5-10 business days.
  • Paid Projects: The initial mix will be delivered within 5 business days or less from project commencement. Each revision request may extend the project timeline, with our commitment to complete each revision within 2 business days when possible. If we anticipate any delays beyond this timeframe, we will promptly notify the Client.
  • Expedited Services: Available upon request with a 10% surcharge to the total project price.

7. Client Responsibilities‍

To ensure timely and efficient delivery, Clients must:

  • Provide high-quality WAV files (minimum 44.1kHz, 24bit) for all submitted material.
  • Ensure that files are clearly named, with all tracks starting from the same position (bar zero or one).
  • Designate a single point of contact for revision requests and project communications if multiple parties are involved in the project.
  • Respond to communications in a timely manner. We are not liable for delays caused by a lack of response from the Client.

8. File Specifications and Deliverables

All files provided by the Client and delivered by us must meet the following specifications:

  • Format: WAV files
  • Minimum quality: 44.1kHz, 24bit
  • All stems and other deliverables must meet the same quality requirements

Upon completion, Clients will receive:

  • Stereo unmastered mix
  • Stereo mastered mix
  • Dolby Atmos mix (for Apple Spatial Audio)
  • Stems, instrumental mixes, or other agreed deliverables

9. Intellectual Property and Rights

9.1 Ownership

The Client retains full ownership of the final product. We do not retain any rights to the mixes or masters, except for portfolio usage.

9.2 Client Warranty

By submitting materials to us, the Client warrants that they have all necessary rights to the material provided (including but not limited to compositions, recordings, samples, and any copyrighted material) and are solely responsible for obtaining all required licenses, permissions, and clearances.

9.3 Credits

The Client agrees to provide credit in all physical and digital releases in the following format: "Mixed and/or Mastered by Gleb Karpovich" or "Mix/Master Engineer: Gleb Karpovich." Where possible, in digital distributions, a hyperlink to gkmixing.com should be included.

10. Indemnification

10.1 Client Indemnification

The Client agrees to indemnify, defend, and hold harmless Gleb Karpovich from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with the Client's materials, including any claim involving alleged infringement of intellectual property rights.

10.2 Service Provider Indemnification

We agree to indemnify, defend, and hold harmless the Client from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising directly from our services or an alleged breach of these Terms.

11. Confidentiality

We agree to maintain the confidentiality of all Client materials and communications. We will not share, distribute, or otherwise make available any unreleased Client materials to third parties without explicit permission, except as required by law. This confidentiality provision survives the termination of our services.

12. Dispute Resolution

We are committed to resolving any issues through communication. In the event of a dispute, please contact us at contact@gkmixing.com. We will respond to disputes within 5 business days.

All legal disputes will be governed by the laws of the country of Georgia, and any legal proceedings shall take place in Georgia.

13. File Delivery and Liability

Final deliverables are provided via Microsoft OneDrive. If issues arise with this platform, we will use alternative file-sharing methods, but we are not liable for problems caused by third-party services.

13.1 Limitation of Liability

Our total liability for any claims under these Terms shall not exceed the amount paid by the Client for the services in question. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to these Terms or the services provided.

14. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, strikes, or other civil unrest. The affected party shall notify the other party of such force majeure circumstances as soon as reasonably possible.

15. Termination

If the Client fails to respond for more than two weeks without prior notice, the project may be terminated. No work will commence until full payment or the agreed deposit is received. Missed payments may result in delays or project termination.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Any such provisions shall be deleted without affecting the remaining provisions.

17. Changes to Terms of Service

We reserve the right to modify these Terms at any time. Any changes will be posted on the Website. Clients are encouraged to review these Terms periodically.
